Please read before using Symuri

Terms of use

These Terms govern access to the Symuri website, early-access program, and any Symuri web or mobile service that links to them. Symuri is a registered business name of Dropflo, Inc., an Ontario corporation (“Symuri,” “we,” “us,” or “our”). By accessing or using Symuri, you agree to these Terms.

Important: Symuri is not for healthcare or regulated professional practice

Symuri is authorized only for non-clinical, unregulated coaching, creator-led education, and similar services. It must not be used to provide or document healthcare, mental-health care, therapy, counselling, psychotherapy, psychology, social work, nursing, medical, or any other regulated professional service that requires formal client records, clinical documentation, protected health information, or legally regulated data storage.

1. Current service status

Symuri is an early-stage product. The public website currently presents the product direction and early-access materials. Platform previews, descriptions, illustrations, features, availability, and timing may change before or during release. Additional service terms may be presented when accounts or paid plans become available.

2. Eligibility and authority

You may use Symuri only if you can legally agree to these Terms. If you use Symuri for a business or organization, you represent that you have authority to bind it. Coaches are responsible for determining whether their work is regulated and whether they have authority and appropriate consent to submit client information or connect third-party services.

3. Permitted use

Symuri is designed for independent coaches, content creators, educators, and clients participating in non-clinical, unregulated coaching or educational services. Subject to these Terms, authorized users may use Symuri to present and purchase offers, route payments, schedule sessions, communicate, deliver calls and voice notes, track purchased services and time limits, generate AI summaries and notes, and search connected creator content.

4. Prohibited healthcare and regulated-professional use

You are not authorized to use Symuri:

  • to provide, support, administer, document, or store records for medical care, mental-health care, psychotherapy, psychology, counselling, social work, nursing, clinical nutrition, or another regulated professional service;
  • as an electronic medical record, electronic health record, clinical record, therapy record, social-work case-management system, or regulated records repository;
  • to collect, create, receive, maintain, transmit, or store protected health information, personal health information, diagnoses, treatment plans, clinical assessments, therapy notes, case files, or other legally regulated professional records;
  • where your profession, licence, regulator, insurer, employer, contract, or applicable law requires specific consent, residency, audit, retention, deletion, security, or recordkeeping controls that Symuri has not expressly agreed in writing to provide;
  • for emergencies, crisis response, suicide or self-harm intervention, mandatory reporting workflows, or any situation requiring immediate professional assistance.

5. No HIPAA, PHIPA, or clinical-record compliance

Symuri is not HIPAA compliant, does not offer or enter into HIPAA business associate agreements, and is not represented as compliant with Ontario's Personal Health Information Protection Act (PHIPA) or any comparable health-information or regulated-record regime. You must not use Symuri if doing so would cause Symuri to act as a healthcare business associate, electronic service provider for a health information custodian, clinical records provider, or equivalent regulated processor. Using disclaimers, calling a service “coaching,” or obtaining a client's consent does not make an otherwise regulated use permissible.

6. Coach responsibilities and client consent

Coaches are solely responsible for:

  • the legality, accuracy, safety, scope, and delivery of their offers and coaching;
  • clearly describing what a client purchased, including sessions, duration, messaging access, expiry, cancellation, and refund terms;
  • providing required privacy notices and obtaining valid consent for communications, call features, transcription, AI summaries, notes, recordings if ever expressly offered, and connected services;
  • reviewing AI output before relying on or sharing it and correcting material errors where appropriate;
  • responding to client requests and professional obligations that apply independently of Symuri.

7. Artificial intelligence and searchable content

Symuri may use AI to summarize coaching interactions for coaches and clients, preserve context, assist with transcription, and return relevant timestamped passages from connected creator content. AI output may be incomplete, inaccurate, or misleading and must be reviewed using human judgment. AI output is not medical, mental-health, legal, financial, or other regulated professional advice and must not be used to make clinical or similarly consequential decisions. You remain responsible for content you submit and decisions you make using output.

8. Accounts and security

When accounts become available, you must provide accurate information, keep credentials confidential, use reasonable device security, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Symuri. You may not share access in a way that defeats plan limits or exposes another person's information.

9. Payments and merchant accounts

Payments are processed directly into each coach's own Stripe or PayPal account. Symuri never holds or receives client funds and charges no transaction fee. Coaches are the seller of their own services and are responsible for prices, taxes, receipts, refunds, chargebacks, cancellations, disputes, and compliance with their payment provider's terms. Symuri may charge separate subscription or service fees when paid plans become available.

10. User content, confidentiality, and permissions

You retain ownership of content you submit. You grant Symuri a limited permission to host, transmit, process, display, and create requested outputs from that content only as reasonably necessary to provide, secure, support, and improve the service in accordance with our Privacy Policy. You represent that you have the necessary rights and consents. Do not upload content that unlawfully discloses another person's confidential, copyrighted, or personal information.

11. Acceptable use

You must not:

  • use Symuri unlawfully, deceptively, abusively, or to harass, exploit, discriminate against, or harm another person;
  • provide regulated or prohibited services described above or submit prohibited health or clinical records;
  • misrepresent qualifications, outcomes, testimonials, prices, availability, or the nature of an offer;
  • attempt unauthorized access, probe security, interfere with operation, distribute malware, scrape restricted data, or bypass usage or access controls;
  • use another person's content, identity, account, or personal information without lawful authority;
  • use AI output as a substitute for required professional judgment or present unreviewed AI output as guaranteed fact.

12. Symuri content and intellectual property

The Symuri name, mascot, visual identity, website writing, interface designs, software, and original materials belong to Dropflo, Inc. or its licensors. Except for the limited right to use the service under these Terms, no intellectual-property rights are transferred. You may not copy, reverse engineer, resell, or present Symuri materials as your own except where applicable law expressly permits it.

13. Third-party services

Symuri may connect with services such as Stripe, PayPal, Google, Microsoft, YouTube, communications providers, and AI or transcription providers. Your use of those services is also governed by their terms and policies. Symuri is not responsible for an independent third party's availability, decisions, content, or separate practices.

14. Availability, changes, and suspension

We may add, change, suspend, or discontinue features and may restrict access to protect users, comply with law, address security risks, enforce these Terms, or operate the service. Early-access and beta functionality may contain errors or interruptions. Where reasonably practical, we will provide notice of material service changes.

15. Disclaimers

To the extent permitted by law, Symuri and the website are provided “as is” and “as available.” We do not guarantee uninterrupted operation, error-free AI output, coaching outcomes, client results, third-party services, or that Symuri will satisfy requirements specific to your profession, contract, insurer, jurisdiction, or business. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

16. Limitation of liability

To the extent permitted by law, Dropflo, Inc. and its directors, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity arising from the use of or inability to use Symuri. Any aggregate liability will be limited to the greater of the amount you paid directly to Symuri during the three months before the event giving rise to the claim or CAD $100. This limitation does not apply where prohibited by law.

17. Indemnity

To the extent permitted by law, business users and coaches agree to indemnify and hold harmless Dropflo, Inc. from third-party claims, losses, and reasonable costs arising from their offers, coaching services, content, unlawful or regulated use, failure to obtain required consent, or material breach of these Terms.

18. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any rights that cannot legally be limited, disputes will be brought in the courts located in Ontario, Canada.

19. Changes and contact

We may update these Terms as Symuri develops. The revised Terms will be posted with a new “Last updated” date, and material changes may receive additional notice. Questions about these Terms can be sent to support@symuri.com.
